These Terms and Conditions (the "Terms" or "Agreement") govern your access to and use of any website owned or operated by Order-CS ("Order-CS," "Company," "we," "us," or "our"), including without limitation the website located at Order-CS.com and any related subdomains (collectively, the "Site"), as well as any products, features, content, applications, or services made available by us through the Site (collectively, the "Services").
By accessing or using the Site or any Services in any manner, including by creating an account, placing an order, clicking "I Agree" or "Accept," or otherwise affirmatively indicating your acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any additional terms and conditions that may apply to specific sections of the Site or to particular products or services offered by or through the Site, and our Privacy Policy, which is incorporated herein by reference.
Acceptance of Terms
If you do not agree to these Terms, you must not access or use the Site or Services. By placing an order or creating an account, you provide affirmative consent to these Terms.
1. Description of Services
Order-CS provides an online platform that enables users to browse, order, and manage purchases of products and services from participating merchants and service providers (the "Services").
Without limiting the generality of the foregoing, the Services may include:
- Online browsing and ordering of products/services
- User account registration and management
- Order history and tracking tools
- Customer support and communications
- Other features offered via the Site
We may provide certain Services directly and others in conjunction with or through third-party merchants, vendors, logistics providers, or other independent contractors (collectively, "Partners").
We reserve the right, in our sole discretion and at any time, to modify, enhance, suspend, or discontinue any aspect of the Services, in whole or in part, with or without notice, and we will not be liable to you or to any third party for any such modification, suspension, or discontinuance.
2. Pharmacy & Healthcare Disclaimers
Nature of Service: Order-CS is a licensed pharmacy reference service and mail-order pharmacy dispensing platform. We dispense prescription medications only upon receipt of a valid prescription issued by a licensed healthcare provider within a bona fide prescriber-patient relationship.
No Medical Advice: The Site and Services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or treatment. Never disregard professional medical advice or delay in seeking it because of something you have read on the Site.
Prescription Requirement: We only dispense prescription medications pursuant to a valid prescription. We do not prescribe medications, diagnose conditions, or recommend specific treatments. No medication will be dispensed without a valid prescription from your licensed healthcare provider.
Regulatory Compliance: Order-CS operates in compliance with applicable laws and regulations of the Oregon Board of Pharmacy, the U.S. Food and Drug Administration (FDA), the National Association of Boards of Pharmacy (NABP), and other relevant regulatory authorities in the jurisdictions where we operate. Our dispensing practices align with HIPAA privacy and security standards.
No Guarantee of Prescription Approval: We reserve the right to refuse or decline to fill any prescription in our sole discretion, including where we reasonably believe the prescription is not valid, the medication is contraindicated, or filling the prescription would violate applicable law or regulatory requirements.
International Customers: If you are located outside the United States, you are responsible for ensuring that the importation of medications into your country complies with all applicable local laws and regulations. Some countries restrict or prohibit the importation of certain medications.
If you are experiencing a medical emergency, call 911 or your local emergency services immediately. Do not use the Site or Services for emergency medical needs.
3. Eligibility and User Representations
By accessing or using the Site or Services, you represent and warrant that:
Age Requirement: You are at least 18 years of age (or the age of majority in your jurisdiction), or you are using the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
Legal Capacity: You have the legal capacity and authority to enter into and be bound by these Terms.
Compliance: You will use the Site and Services in compliance with all applicable laws, rules, and regulations.
Accuracy: Any information you provide to us (including during registration, ordering, or otherwise) is and will remain true, accurate, current, and complete.
Use of the Site is void where prohibited by law.
4. Changes to Terms
We reserve the right to change, update, or modify these Terms at any time, in our sole discretion. When we make changes, we will post the updated Terms on the Site and revise the "Last Updated" date at the top of this page.
Any changes will be effective immediately upon posting, unless otherwise stated. Your continued use of the Site or Services after posting of the updated Terms constitutes your acceptance of such changes. If you do not agree to the updated Terms, you must discontinue use of the Site and Services.
Material Changes: If we make a material change to these Terms, we will provide you with at least thirty (30) days' advance notice by email to the email address associated with your account. If you do not agree to the material change, you may terminate your account and cease using the Services before the change takes effect. Your continued use of the Services after the 30-day notice period constitutes your acceptance of the material change.
5. Account Registration and Security
5.1 Registration
To access certain features of the Site or Services, you may be required to create an account and provide certain registration information, which may include, without limitation, your name, email address, billing and shipping information, and payment details.
You agree to:
- Provide true, accurate, current, and complete information as prompted by any registration or account creation process on the Site.
- Maintain and promptly update such information to keep it true, accurate, current, and complete.
If we have reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current, or incomplete, we may, in our sole discretion, suspend or terminate your account and/or refuse any and all current or future use of the Site or Services (or any portion thereof).
5.2 Username and Password
You may be asked to select a username and password or similar security credentials. You are solely responsible for maintaining the confidentiality and security of your account credentials, restricting access to your account, and all activities that occur under your account, whether or not authorized by you.

We reserve the right, in our sole discretion, to refuse registration of, or to cancel, any username that we deem inappropriate, offensive, or otherwise objectionable.
We will not be liable for any loss or damage arising from your failure to protect the confidentiality of your account credentials.
6. Orders, Pricing, and Payment
6.1 Placing Orders
By placing an order through the Site, you make an offer to purchase the products and/or services listed in your order, subject to these Terms and any additional terms presented at the time of purchase.
All orders are subject to our acceptance, which may be withheld or conditioned, in our sole discretion, for any lawful reason, including but not limited to product or service availability, errors in product or pricing information, suspected fraud, or violation of these Terms.
6.2 Pricing and Availability
All prices, discounts, and promotions posted on the Site are subject to change without notice. We make commercially reasonable efforts to display accurate pricing and availability information; however, errors may occur.
We reserve the right to:
- Correct any errors, inaccuracies, or omissions, including after an order has been submitted;
- Change or update information at any time without prior notice; and
- Cancel any order arising from such errors, inaccuracies, or omissions.
If we cancel an order that has already been charged, we will issue a refund of the amount charged, subject to our then-current refund policies.
6.3 Payment
You agree to pay all charges that may be incurred by you or on your behalf through the Site, at the prices in effect when such charges are incurred, including any applicable taxes, shipping and handling, and other fees.
You authorize us and our third-party payment processors to charge your chosen payment method for any such charges. By providing payment information, you represent and warrant that you are authorized to use the payment method provided.
All payments are processed through third-party payment processors, and your use of such payment services may be subject to additional terms and conditions of those third parties.
7. Shipping, Delivery, and Risk of Loss
Shipping and Delivery: We will arrange for shipment or delivery of purchased products to you in accordance with the shipping option you select at checkout, subject to availability and applicable fees. Any delivery dates or times provided are estimates only and not guaranteed.
Risk of Loss: Title and risk of loss for products pass to you upon our transfer of the products to the carrier (or, for digital products, upon making such products available for download or access).
International Shipping: If you ship outside the United States, you are responsible for compliance with all applicable import, export, and customs laws, and for any related duties, taxes, or fees.
8. Cancellations, Returns, and Refunds
Your rights regarding order cancellations, returns, and refunds will be governed by our Return and Refund Policy, which is incorporated into these Terms by reference and may be posted separately on the Site.
Cancellations: Orders may be cancelable before they are processed or shipped. We may, but are not obligated to, accept cancellation requests once processing or shipping has begun.
Returns: Returns may be accepted for eligible items within a specified timeframe of delivery, in unused and resellable condition, with original packaging and proof of purchase, subject to any exclusions or special conditions listed on the Site.
Refunds: Approved refunds will be processed to the original method of payment within a commercially reasonable time. Shipping and handling charges are typically non-refundable.
We reserve the right to deny any return or refund request that does not comply with our policies or where we reasonably suspect abuse or fraud.
9. User Content and License Grant
The Site may provide interactive features that allow users to submit, post, upload, publish, or otherwise make available content or materials, including but not limited to reviews, comments, feedback, images, or other content ("User Content").
By submitting or posting any User Content via the Site, you represent and warrant that:
- Ownership: You own or otherwise control all rights in and to the User Content.
- Accuracy: The User Content is accurate and not misleading.
- Compliance: The User Content does not violate these Terms or any applicable law.
- Permissions: You have obtained all necessary permissions from identifiable individuals.
License Grant: You grant to Order-CS and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive, worldwide, fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media now known or hereafter developed.
You agree that you will not receive any compensation for any User Content you submit, and you waive any moral rights or similar rights you may have in such User Content to the maximum extent permitted by applicable law.
We reserve the right, but not the obligation, to monitor, screen, edit, remove, or refuse to post any User Content in our sole discretion, for any reason or no reason, including for violations of these Terms or any applicable law.
10. DMCA Notice & Takedown Procedure
Order-CS respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Site or Services that are properly reported to our designated DMCA Agent.

Filing a DMCA Notice
If you believe that any material available on or through the Site or Services infringes your copyright, you may submit a written notification of claimed infringement ("DMCA Notice") to our Designated DMCA Agent containing the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
- Your contact information, including address, telephone number, and email address
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner
Counter-Notification
If you believe that material you posted was removed or disabled as a result of a mistake or misidentification, you may file a counter-notification with our DMCA Agent containing the following:
- Your physical or electronic signature
- Identification of the material that has been removed or disabled and the location where the material appeared before removal
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
- Your name, address, telephone number, and email address, and a statement that you consent to the jurisdiction of the federal district court in Oregon and that you will accept service of process from the person who provided the original DMCA Notice
We reserve the right to remove any content or materials that we believe may infringe the copyright or other intellectual property rights of any third party, and to suspend or terminate the accounts of repeat infringers in appropriate circumstances.
11. Community Rules and Acceptable Use
When accessing or using the Site or Services, including any interactive features, you agree that you will not:
- Restrict or inhibit any other user from using and enjoying the Site or Services
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the operation of the Site or any servers or networks
- Use the Site or Services for any fraudulent or unlawful purpose
- Gain or attempt to gain unauthorized access through hacking or password mining
- Upload content that is unlawful, harmful, abusive, harassing, or otherwise objectionable
- Upload content that infringes on any copyright, trademark, or proprietary right
- Upload material containing viruses, malware, or any other harmful code
- Transmit unsolicited advertising, promotional materials, junk mail, or spam
- Collect or harvest information about other users without their express consent
- Engage in activity that imposes an unreasonable load on our infrastructure
- Use automated means (robots, spiders, crawlers) to access or scrape data
We reserve the right, in our sole discretion, to suspend or terminate your access to all or part of the Site or Services for any violation of this section or these Terms, without prior notice and without liability.
12. Intellectual Property Rights
12.1 Ownership
The Site, the Services, and all content and materials available on or through the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, designs, and the compilation thereof (collectively, the "Site Materials"), are the property of Order-CS, its affiliates, licensors, or other third parties and are protected by United States and international copyright, trademark, and other intellectual property laws.
12.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Site Materials solely for your personal, non-commercial use.
Prohibitions:
- Copy, reproduce, modify, adapt, create derivative works from, distribute, publish, transmit, or otherwise exploit the Site, the Services, or any Site Materials, in whole or in part, except as expressly permitted by these Terms or otherwise expressly authorized in writing by us.
- Remove, alter, obscure, or otherwise tamper with any copyright, trademark, or other proprietary rights notice on the Site or Site Materials.
- Use any trademarks, service marks, trade names, logos, or trade dress of Order-CS without our prior written permission.
Any unauthorized use of the Site, Services, or Site Materials automatically terminates the limited license granted by these Terms and may violate applicable laws.
13. Third-Party Sites, Products, and Services
The Site may contain links to or references to third-party websites, applications, products, or services (collectively, "Third-Party Services") that are not owned or controlled by Order-CS.
Any such links are provided solely as a convenience to you and do not constitute or imply any endorsement, sponsorship, or recommendation by us of the Third-Party Services or their content. We do not control and are not responsible for the availability, accuracy, content, products, services, or privacy practices of any Third-Party Services.
Your use of any Third-Party Services is at your own risk and is subject to the terms and conditions and privacy policies of such third parties. You agree that Order-CS will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any Third-Party Services.
14. Disclaimers
Important Notice
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, THE SERVICES, AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS, AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
Without limiting the foregoing, Order-CS expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as any warranties arising out of course of dealing or usage of trade.
We do not warrant that:
- The Site or Services will be uninterrupted, timely, secure, or error-free
- Defects will be corrected
- The Site or the servers that make it available are free of viruses or other harmful components
- The information, content, or materials on the Site are accurate, complete, reliable, current, or error-free
You acknowledge that your use of the Site and Services is at your sole risk.
Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.
Nothing in this disclaimer limits our obligations under applicable pharmacy laws and regulations or any statutory consumer rights that cannot be waived by law.
15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ORDER-CS, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of, or inability to access or use, the Site or Services
- Any conduct or content of any user or third party on or through the Site or Services
- Any content obtained from the Site or Services
- Unauthorized access, use, or alteration of your transmissions or data
In no event will the aggregate liability of Order-CS and its affiliates arising out of or relating to these Terms or your use of the Site or Services exceed the greater of (a) the amount you have paid to Order-CS in connection with your use of the Site or Services during the three (3) months immediately preceding the event giving rise to the claim, or (b) $100.
The above limitations of liability apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damage.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Order-CS, its affiliates, and their respective directors, officers, employees, agents, representatives, licensors, and service providers from and against any and all losses, damages, liabilities, claims, demands, actions, suits, proceedings, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the Site or Services
- Your violation of these Terms or any applicable law
- Your violation of any rights of any third party, including intellectual property or privacy rights
- Any User Content you submit, post, or otherwise make available via the Site
We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.
Notwithstanding the foregoing, you will have no obligation to indemnify us for claims arising from (i) our negligence or willful misconduct, (ii) our violation of applicable law, or (iii) your exercise of statutory consumer rights.
17. Suspension and Termination
We may, in our sole discretion and without prior notice, suspend or terminate your access to all or part of the Site or Services, deactivate or delete your account and all related information and files, and/or bar your further access to the Site or Services for any reason or no reason, including, without limitation, any violation of these Terms or any applicable law.
Upon termination: Your right to use the Site and Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination (including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law and dispute resolution provisions) shall survive.
We will not be liable to you or any third party for any termination or suspension of your account or access to the Site or Services.

Our collection, use, and disclosure of personal information through the Site and Services are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

19. European Consumer Rights & GDPR
19.1 Data Controller

19.2 Your GDPR Rights
If you are located in the European Economic Area (EEA) or the United Kingdom, you have the following rights under applicable data protection law:
- Right of Access: Request access to your personal data and information about how we process it.
- Right to Rectification: Request correction of inaccurate personal data.
- Right to Erasure ("Right to be Forgotten"): Request deletion of your personal data where there is no compelling reason for its continued processing.
- Right to Restriction: Request restriction of processing of your personal data in certain circumstances.
- Right to Data Portability: Request transfer of your personal data to you or a third party in a structured, commonly used, machine-readable format.
- Right to Object: Object to processing of your personal data for direct marketing purposes or on grounds relating to your particular situation.
- Rights Related to Automated Decision-Making: Not be subject to decisions based solely on automated processing that have legal or similarly significant effects.
19.3 Right of Withdrawal (Cooling-Off Period)
If you are a consumer located in the European Union or the United Kingdom, you have the right to withdraw from your purchase without providing a reason within 14 days of receiving your order (the "Cooling-Off Period"), subject to applicable exceptions. For prescription medications, this right may be limited where the goods are sealed for health protection reasons and have been unsealed after delivery. 19.4 Complaints to Supervisory Authority
If you believe that our processing of your personal data violates GDPR, you have the right to lodge a complaint with your local data protection supervisory authority. We encourage you to contact us first at privacy@order-cs.com so that we may attempt to resolve your concerns.
19.5 Legal Basis for Processing
We process your personal data on the following legal bases: (a) performance of a contract with you (e.g., processing orders, providing Services); (b) compliance with legal obligations (e.g., regulatory record-keeping, prescription verification); (c) our legitimate interests (e.g., fraud prevention, network security, improving our Services), provided your interests and fundamental rights do not override those interests; and (d) your consent, where we seek your consent for specific processing activities such as marketing communications.
20. International Data Transfers
Order-CS is based in the United States. Your personal data may be transferred to, stored, and processed in the United States and other countries where we or our service providers operate. Where required by applicable law, we have implemented appropriate safeguards to protect your personal data when it is transferred across borders.
EU/UK Adequacy and Safeguards: For personal data transferred from the European Economic Area, the United Kingdom, or Switzerland to the United States or other countries that have not been deemed adequate by the European Commission or relevant regulatory authority, we rely on:
- Standard Contractual Clauses (SCCs) adopted by the European Commission, including the UK International Data Transfer Agreement or Addendum where applicable; and/or
- Other lawful transfer mechanisms as required by applicable data protection law.

21. Governing Law; Dispute Resolution
21.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Oregon, without giving effect to any choice or conflict of law provision or rule.
21.2 Dispute Resolution
You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Site or Services will be instituted exclusively in the state or federal courts located in Polk County, Oregon. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objections to venue or forum.
21.3 Consumer Protections Override
Notwithstanding the foregoing, if you are a consumer in the European Union, the United Kingdom, or any other jurisdiction whose mandatory consumer protection laws would provide you with greater protections than provided under these Terms, those laws shall apply to the extent they cannot be contractually waived. Nothing in this Section 21 limits your ability to bring a claim in a court of competent jurisdiction in your country of residence where mandatory consumer protection law provides that right.
22. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Order-CS regarding the Site and Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
No Third-Party Beneficiaries: Except as expressly provided herein, these Terms are for the sole benefit of you and Order-CS and are not intended to confer any rights or remedies upon any other person or entity.
Time to Bring Claims: To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Site or Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

24. California Consumer Rights
If you are a resident of California, the following rights apply to you under the California Consumer Privacy Act as amended by the California Privacy Rights Act (collectively, "CPRA"):
